1. Acceptance of Terms

By accessing or using the Timocéa platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you ("User", "you") and MindtheGap Sàrl (CHE-398.557.351), operating under the Timocéa brand ("Timocéa", "we", "us"), a company incorporated in Geneva, Switzerland. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Service Description

Timocéa is an AI-transition governance and orchestration platform. The Service enables organizations to:

• Measure the return on investment, adoption, and value of AI across the organization
• Orchestrate and govern AI-driven workflows with human-in-command controls
• Generate sealed, tamper-evident decision receipts for every governed action
• Track AI systems against regulatory obligations, including the EU AI Act
• Produce executive reports and compliance documentation on demand

3. Account and Credits

3.1 Account Registration

To use the Service, you must create an account using a valid professional email address. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Credits

The Service operates on a credit model. Credits are consumed when you use governance, orchestration, and reporting features. The number of credits consumed depends on the complexity of the operation. Credits are non-transferable between accounts and may not be resold, bartered, or exchanged. Timocéa reserves the right to modify credit allocations at any time.

3.3 Founder Program

The Timocéa Founder Program offers early adopters preferential rates with a lifetime rate lock. Founder program benefits are as described at the time of purchase and are subject to the following conditions:

• Founder pricing is locked for the lifetime of the account
• Benefits apply to the purchasing account only and are non-transferable
• Timocéa reserves the right to close the Founder Program to new participants at any time
• Existing Founder members retain their benefits regardless of program status

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You may not:

• Submit illegal content: Upload or process data that contains illegal material, including but not limited to content that violates intellectual property rights, privacy rights, or applicable laws.
• Automate access: Use bots, scrapers, or automated tools to access the Service, extract data, or consume credits without our explicit written permission.
• Reverse engineer: Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code, algorithms, or underlying technology of the Service.
• Resell or redistribute: Resell, sublicense, or redistribute credits, decision receipts, or access to the Service without our written consent.
• Overload the Service: Intentionally or negligently place excessive load on our infrastructure, including submitting unusually large volumes of operations in a short period.
• Misrepresent results: Falsely claim that Timocéa outputs constitute legal certification, regulatory compliance, or professional endorsement.

We reserve the right to suspend or terminate accounts that violate these terms, with or without notice.

5. Intellectual Property

5.1 Our Intellectual Property

The Timocéa platform, including its design, code, algorithms, branding, documentation, and all associated intellectual property, is owned by MindtheGap Sàrl and is protected by Swiss and international copyright, trademark, and patent laws. Nothing in these Terms grants you any right to use our trademarks, logos, or branding.

5.2 Your Content

You retain full ownership of all data you submit and all decision receipts and reports generated from your content. Timocéa claims no ownership rights over your data, workflows, or exported reports. We do not use your content for any purpose other than providing the Service to you.

5.3 Feedback

If you provide feedback, suggestions, or feature requests, you grant Timocéa a non-exclusive, royalty-free, perpetual license to use and incorporate such feedback into the Service without obligation to you.

6. AI Disclaimer

Timocéa provides AI-assisted governance and orchestration intelligence. It is important that you understand the following:

• Informational only: Outputs are provided for informational purposes. They do not constitute legal advice, professional certification, or regulatory compliance validation.
• No guarantee of accuracy: While we strive for the highest quality of analysis, AI-assisted processing is inherently probabilistic. We do not guarantee that results are complete, accurate, or free from error.
• Human judgment required: You are responsible for reviewing outputs and making your own final decisions. Timocéa keeps the human in command; it is a tool to assist your judgment, not replace it.
• Evolving technology: AI models and data sources are updated over time. Results for the same input may vary between sessions as our technology improves and data sources are refreshed.

7. Payment and Refunds

7.1 Pricing

Current pricing is displayed on our website. All prices are in Swiss Francs (CHF) unless otherwise stated. Prices are exclusive of applicable taxes, which will be added at checkout where required by law.

7.2 Payment Processing

All payments are processed securely by Stripe. By making a purchase, you agree to Stripe's Terms of Service. We do not store your payment card details.

7.3 Founder Program Refund

Founder Program purchases include a 30-day money-back guarantee. If you are not satisfied with the Service, you may request a full refund within 30 days of your purchase date by contacting support@odyssera.ai. Refunds are processed to the original payment method within 10 business days.

7.4 Subscription Plans

Subscription plans are billed monthly. You may cancel your subscription at any time. Upon cancellation, you retain access to paid features until the end of your current billing period. No partial refunds are provided for unused portions of a billing period.

7.5 Credit Expiration

Credits expire according to the terms of your plan. Expired credits are non-refundable.

8. Limitation of Liability

To the maximum extent permitted by Swiss law:

• Timocéa provides the Service "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Timocéa shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.
• Timocéa shall not be liable for any decisions made, actions taken, or outcomes resulting from reliance on outputs produced by the Service.
• In no event shall Timocéa's total aggregate liability exceed the amount you have paid to Timocéa in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless MindtheGap Sàrl (operating as Timocéa), its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party rights.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavor to provide advance notice of planned downtime when feasible.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Switzerland, without regard to conflict of law principles. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Geneva, Switzerland.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify registered users by email and update the "Last updated" date at the top of this page. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
